Advertising terms for sponsors
Last updated: 16 October 2026
Convenience translation. In case of any discrepancy, the German version prevails.
1. Provider, scope
- The provider and sole contracting party is A&C Solutions UG (haftungsbeschränkt), Hengsteyer Straße 41, 58099 Hagen, Germany, registered at the Local Court (Amtsgericht) of Hagen under HRB 13534, VAT ID DE455925687, email: hello@swiftskills.dev ("Provider").
- These terms apply to all contracts for advertising services on swiftskills.dev between the Provider and the client ("Sponsor").
- The offer is directed exclusively at businesses within the meaning of Section 14 German Civil Code (BGB), legal entities under public law and special funds under public law. No contracts are concluded with consumers. The Sponsor confirms its business status upon conclusion of the contract.
- Deviating or supplementary terms of the Sponsor apply only if the Provider expressly agrees to them in text form.
2. Subject matter
- The Provider offers in particular:
- Sponsor slot: an advertising space labelled as advertising on swiftskills.dev (e.g. banner, text/logo placement) and/or in the newsletter, for the agreed period;
- Featured listing: a highlighted catalogue entry labelled as advertising for the agreed period.
- Scope, placement, format, period and price are set out in the individual offer. Specific positions, exclusivity or exclusion of competitors apply only if expressly agreed.
3. Conclusion of contract
- Content on the website does not constitute a binding offer.
- The contract is concluded when the Sponsor accepts an individual offer from the Provider in text form (e.g. by email) or the Provider confirms a Sponsor's request in text form.
4. Prices, payment
- Prices are as stated in the individual offer. All prices are net, plus statutory VAT.
- For Sponsors established in another EU member state who provide a valid VAT ID, invoices are issued without German VAT under the reverse-charge procedure. The Sponsor is responsible for providing a correct VAT ID. For Sponsors outside the EU, the applicable statutory place-of-supply rules apply.
- Fees are payable in advance, without deduction, upon invoicing and before the campaign starts. The Provider is not obliged to publish the advertising before full payment has been received. A delayed start due to late payment does not automatically extend the term.
5. Term, termination
- The term is set out in the offer. Fixed-term contracts end upon expiry without notice. Ordinary termination during a fixed term is excluded.
- Extensions require agreement in text form. For contracts expressly agreed as ongoing, unless otherwise agreed, a notice period of 14 days to the end of the respective billing period applies.
- The right to terminate for good cause remains unaffected. Good cause for the Provider exists in particular if the Sponsor breaches Section 7 or 8 or is in default of payment.
- Notices of termination must be in text form.
6. Labelling, editorial independence
- All advertising content is clearly labelled "Anzeige / Sponsored". Links in advertising content carry
rel="sponsored". This labelling cannot be waived. - The Provider is editorially independent. A booking has no influence on editorial ranking, search results, ratings, "verified" status or other editorial content, and such influence cannot be purchased.
- Featured listings are displayed separately from the editorial order or are recognisable as advertising.
7. Content guidelines, right of refusal
- The Sponsor delivers the ad materials (texts, logos, images, target URL) in good time, at the latest five business days before the campaign starts, in the format specified by the Provider.
- Prohibited are in particular content that violates applicable law or third-party rights, is misleading, involves malware, phishing or dubious offers, is discriminatory, glorifies violence, is pornographic or politically extremist, or promotes gambling, financial speculation (e.g. crypto schemes), weapons, tobacco or medicinal products.
- The Provider may refuse ad materials and orders without stating reasons and may block or remove published advertising if it violates these guidelines, if justified complaints from third parties or authorities are received, or if the target URL later shows impermissible content. Where the reason is attributable to the Sponsor, the fee remains payable. If an order is refused before the campaign starts for reasons not attributable to the Sponsor, any fee already paid is refunded.
- The Provider may make formal adjustments to ad materials (format, shortening, labelling) as long as the content is not materially changed.
8. Warranty of rights, indemnity, target URLs
- The Sponsor is solely responsible for the ad materials and the linked target URLs, including the content and products offered there. The Sponsor warrants that it holds all necessary rights (in particular copyright, trademark, personality and competition law) and that the content is lawful.
- For the term of the contract, the Sponsor grants the Provider the simple, non-transferable rights of use necessary to perform the contract, including display on the website, in the newsletter and in archive views.
- The Sponsor indemnifies the Provider against all third-party claims asserted because of the ad materials or target URLs, including reasonable costs of legal defence, unless the Sponsor is not responsible for the infringement.
- The Sponsor informs the Provider without undue delay of any change to the target URL.
9. No reach guarantee
The Provider owes publication to the agreed extent, but not any particular advertising result. Reach, page views, clicks, open rates or conversions are not guaranteed. Reach figures are non-binding estimates unless expressly agreed as guaranteed. Short website outages due to technical reasons, maintenance or force majeure do not entitle the Sponsor to a reduction, provided they are not significant overall.
10. Liability
- The Provider is liable without limitation for intent and gross negligence, for injury to life, body or health, and under mandatory statutory provisions (e.g. the German Product Liability Act).
- For slight negligence, the Provider is liable only for breach of an essential contractual obligation (cardinal obligation), i.e. an obligation whose fulfilment makes proper performance of the contract possible in the first place and on whose fulfilment the Sponsor may regularly rely. In this case, liability is limited to the foreseeable damage typical for the contract, and capped at the net fee agreed for the affected order.
- Otherwise, liability is excluded. These limitations also apply in favour of the Provider's officers, employees and agents.
11. Data protection
Information on the processing of personal data is available in the privacy policy at swiftskills.dev/datenschutz. Where the Sponsor collects user data via its target URL, the Sponsor is itself the controller under the GDPR. The Provider does not share personal data of users or newsletter subscribers with Sponsors.
12. Notice for US sponsors (FTC)
The labelling under Section 6 also serves as disclosure under the FTC Endorsement Guides (16 CFR Part 255) and the FTC Act. Sponsors with a US connection are responsible for ensuring that their own advertising claims and target URLs comply with US requirements. The Sponsor may not remove or weaken the labelling or request that it be omitted.
13. Final provisions
- The laws of the Federal Republic of Germany apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
- If the Sponsor is a merchant (Kaufmann), a legal entity under public law or a special fund under public law, or has no general place of jurisdiction in Germany, the exclusive place of jurisdiction for all disputes is Hagen, Germany. The Provider may also sue the Sponsor at its general place of jurisdiction.
- Amendments and supplements must be made in text form.
- Should individual provisions be or become invalid in whole or in part, the validity of the remaining provisions remains unaffected. The invalid provision is replaced by the statutory provision.
- These terms are available in German and English. In case of discrepancies, only the German version is authoritative.
